Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are an agreement between you and Paz Technologies LLC, doing business as Data Hippo ("Data Hippo," "we," "our," or "us"). They govern your access to and use of our websites, our evaluation sandboxes, and the related services we make available to you (together, the "Services"). By accessing or using the Services, or by signing up for a sandbox, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization. If you do not agree to these Terms, do not use the Services.

2. Our Services

Data Hippo is a healthcare data platform that provides governed analytics, monitoring, and AI services to authorized organizations. Production deployments of the platform are provided under separate written agreements and typically run in the customer's own cloud environment.

We also offer evaluation sandboxes: personal demonstration environments seeded with synthetic data, provided for evaluation purposes only. Sandboxes are not production services, carry no service commitments, and contain no real patient data.

3. Order of Precedence

If you or your organization has a separate written agreement with us covering the Services, including a master services agreement, order form, or business associate agreement, that agreement controls over these Terms to the extent of any conflict. These Terms govern the websites and evaluation sandboxes, and any use of the Services not covered by a separate agreement.

4. Eligibility

To use the Services, you must:

  • Be at least 18 years old
  • Use the Services for business purposes on behalf of an organization, not as a consumer
  • Comply with all applicable laws and regulations
  • Not be barred from using the Services under any applicable law

5. Accounts and Sign-In

Sandbox sign-in is passwordless and tied to your email address or a supported identity provider. You are responsible for maintaining control of the email account and identity provider account you use to sign in, and for all activity that occurs under your account. Notify us promptly at legal@datahippo.ai if you believe your account has been accessed without authorization. You agree to provide accurate information during signup and setup and to keep it current.

6. Evaluation Sandboxes

You may request an evaluation sandbox through self-serve signup. Sandbox access works as follows:

  • Discretionary access. Sandbox requests are reviewed and granted at our sole discretion. We may decline, limit, suspend, modify, or revoke sandbox access at any time, with or without notice, and we are not obligated to explain individual decisions.
  • Evaluation use only. Sandboxes are provided solely so you can evaluate the Services. Sandbox access does not make you an authorized partner and grants no production rights.
  • Synthetic data. Sandboxes are seeded with synthetic, demonstration data. Sandbox content does not represent real patients, providers, or transactions, and must not be used for clinical, operational, or financial decision-making.
  • No uploads of sensitive data. Do not submit protected health information, patient data, or other sensitive personal data to a sandbox or to the setup conversation. The sandbox is not designed or offered for such data, and no business associate relationship is created by sandbox use.
  • Resets and deletion. We may reset, change, or delete sandbox environments and their contents at any time.
  • Setup information. Information you provide during signup and setup, including in conversations with our setup assistant, is used as described in our Privacy Policy, including to review your request and prepare your environment.

7. Acceptable Use

You agree not to:

  • Use the Services for any illegal or unauthorized purpose, or in violation of any applicable law or regulation
  • Attempt to access accounts, data, or environments that are not yours
  • Probe, scan, or test the vulnerability of the Services, or interfere with their functionality, integrity, or security
  • Reverse engineer, decompile, or attempt to extract the source code, models, or prompts underlying the Services, except where such restriction is prohibited by law
  • Copy, scrape, or harvest content or data from the Services by automated means, or use the Services to build or benchmark a competing product
  • Create sandbox accounts through automated means, misrepresent your identity or organization, or submit signup information you do not have the right to provide
  • Resell, sublicense, or make the Services available to third parties without our written consent
  • Use the Services to transmit malware or other harmful code

8. AI Features; No Medical Advice

Parts of the Services, including the sandbox setup assistant, are powered by artificial intelligence. AI-generated content can be inaccurate or incomplete, and you should not rely on it as a sole source of truth. The Services, including all sandbox content and AI output, do not constitute medical advice, diagnosis, or treatment, and are not a substitute for professional medical judgment. Conversations with AI features are processed by us and our service providers as described in our Privacy Policy.

9. Feedback

If you provide feedback, suggestions, or ideas about the Services, including needs, priorities, and feature requests shared during setup conversations, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose, including improving the Services and developing new features, without obligation or compensation to you. Feedback does not include your organization's confidential business information, which we handle as described in our Privacy Policy and any applicable written agreement.

10. Intellectual Property

The Services and their content, including text, graphics, logos, software, models, and synthetic datasets, are owned by Data Hippo or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms. You may not copy, distribute, or create derivative works from the Services without our express written consent. All rights not expressly granted are reserved.

11. Fees

Evaluation sandboxes are currently provided at no charge. Production services are offered under separate written agreements with their own pricing. We may introduce, change, or discontinue free offerings at any time.

12. Privacy

Our collection and use of information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Third-Party Services

The Services rely on third-party providers, including identity and sign-in providers, hosting, email delivery, and AI processing. Your use of third-party services, such as signing in with an identity provider, may also be subject to those providers' terms. We are not responsible for third-party services we do not control.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. EVALUATION SANDBOXES IN PARTICULAR ARE PROVIDED WITHOUT ANY SERVICE COMMITMENTS OR SUPPORT OBLIGATIONS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATA HIPPO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW.

16. Indemnification

You agree to defend, indemnify, and hold harmless Data Hippo and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services in violation of these Terms, your violation of applicable law, or information you submit to the Services in breach of Section 6.

17. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. You may stop using the Services at any time. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination, including Sections 9, 10, and 14 through 20, survive.

18. Changes to Terms

We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last Updated" date, and for material changes we will provide additional notice where reasonably practicable. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

19. Governing Law; Dispute Resolution

These Terms are governed by the laws of the state in which Paz Technologies LLC is organized, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, on an individual basis and not as a class or representative action. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

20. General

These Terms, together with the Privacy Policy and any separate written agreement described in Section 3, are the entire agreement between you and us regarding the Services. If any provision of these Terms is found unenforceable, it will be limited or eliminated to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
